Terms of Service
These terms govern access to and use of the sepia.live platform operated by Tangible Spin LLP, including the website, web app, mobile apps, and related services.
Introduction and acceptance
These Terms of Service apply to each business or individual that registers for, accesses, or uses sepia.live as a travel coordinator, travel desk, agency, or authorized user. By creating an account, starting a free trial, or making a payment, you agree to these terms.
If you accept these terms for a company or other entity, you confirm that you have authority to bind that entity.
These terms should be read together with the Privacy Policy, Cookie Policy, Data Processing Agreement, and Acceptable Use Policy.
Definitions
- Annual Plan means a subscription paid upfront for a 12-month period.
- Billing Cycle means the recurring monthly or annual period for which a subscription fee is charged.
- End Customer means a traveler or other individual whose data a travel coordinator, travel desk, or agency processes using the platform.
- Free Trial means the 30-day no-charge period offered to eligible new travel coordinators, travel desks, or agencies.
- Monthly Plan means a subscription billed monthly in advance on a recurring basis.
- Platform means the sepia.live web application, app, iOS app, and associated APIs operated by Tangible Spin LLP.
- Subscription Fee means the fee payable for access to the platform during a billing cycle.
Account registration
- You must register with accurate and complete information and keep it updated.
- You must be at least 18 years old and have legal capacity to enter into a binding contract.
- You are responsible for the confidentiality of login credentials and all activity under your account.
- You must notify us promptly at legal@sepia.live if you suspect unauthorized access.
- We may refuse registration or suspend accounts where information appears inaccurate or these terms are being violated.
Free trial
Eligible new travel coordinators, travel desks, or agencies may access the platform free of charge for 30 days from the date of account creation. No payment information is required to begin the free trial.
If no paid plan is selected by the end of the free trial, the account may be suspended and data retained for 30 days before permanent deletion. If a paid plan is selected before expiry, the first billing cycle begins on the plan selection date.
Only one free trial is available per travel desk, agency, business entity, or related group of businesses. SLA commitments do not apply during the free trial period.
Subscription plans and billing
Plan structure
- Free Trial: 30 days, no card required, and ends unless you actively select a paid plan.
- Monthly Plan: billed monthly in advance and renews automatically each month.
- Annual Plan: billed upfront for 12 months and renews automatically unless cancelled.
Payment terms
- Subscription fees are due in advance at the start of each billing cycle.
- Fees are exclusive of applicable taxes, including GST where required.
- If payment fails, we may notify you by email and suspend the account if payment remains overdue for more than 15 days.
- Invoices are issued electronically and made available through your account.
Annual and monthly renewals
- Annual plans renew automatically and we aim to send a renewal reminder at least 14 days before renewal.
- Switching from annual to monthly takes effect at the end of the current annual period.
- Monthly plans renew on the same date each month corresponding to the subscription start date.
Price changes
We may change subscription fees with at least 30 days’ notice by email. Changes take effect at the start of the next billing cycle after the notice period. If you do not accept the new price, you may cancel before it takes effect.
Cancellation and refunds
You may cancel through account billing settings or by emailing legal@sepia.live. Unless you request immediate cancellation, cancellation takes effect at the end of the current billing cycle.
Access continues until the paid billing cycle ends. After that, the account may be suspended and data retained for 90 days for export before deletion in line with the DPA.
We operate a pro-rata refund policy for eligible cancellations. Refunds are generally calculated using the unused portion of the billing cycle and returned to the original payment method within 10 business days.
Free trial periods, taxes already remitted, and fees connected to suspension or termination for breach are not eligible for refund. Disputed charges should be raised within 30 days of the charge date.
Service levels and support
We target 99.5% monthly uptime for the paid platform, excluding scheduled maintenance, force majeure events, third-party outages, customer misuse, unsupported configurations, and free trial periods.
If the uptime commitment is missed for a calendar month, eligible customers may request a service credit within 15 days after month end. Credits apply to a future invoice and are the sole remedy for uptime failures.
Support is available at support@sepia.live during IST business hours, Monday to Friday, excluding Indian public holidays. We aim to respond to support requests within 2 business days.
Unless a separate signed enterprise agreement says otherwise, the platform is provided on a commercially reasonable basis and may change, be maintained, or be interrupted from time to time. Scheduled maintenance windows, emergency fixes, third-party outages, and internet or device issues may affect availability.

- You are responsible for the legality, accuracy, and appropriateness of data entered into the platform.
- You must have any consents and lawful bases needed to process End Customer personal data.
- You must provide accurate privacy notices to your End Customers and comply with laws applicable to your business and jurisdiction.
- You are responsible for your staff’s use of the platform under your account.
- If you configure custom customer-facing terms through platform legal settings, you are solely responsible for their content, legality, and enforceability.
- You must not violate law, infringe third-party rights, scrape or reverse engineer the platform, disrupt the service, or resell access without prior written consent.
- Further operational restrictions and misuse rules are set out in the Acceptable Use Policy.
Suspension and termination
We may suspend your account for non-payment if fees remain overdue for more than 15 days. Fees continue to accrue during suspension. If non-payment suspension continues for more than 60 days, we may terminate the account and delete data in line with the DPA.
We may also suspend or terminate immediately for material breach, legal or regulatory requirements, security risk, insolvency, or misuse that threatens the platform or other users.
Either party may terminate these terms on 30 days’ written notice, subject to the cancellation and refund rules above. On termination, access ends, outstanding fees become due, and survival clauses continue to apply where appropriate.
Limitation of liability
To the maximum extent permitted by law, Tangible Spin LLP’s aggregate liability under or in connection with these terms is limited to the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
We are not liable for loss of profits, revenue, business, data, goodwill, or reputation, or for indirect, incidental, special, consequential, or punitive damages, whether or not foreseeable.
Nothing in these terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
Intellectual property and data
All intellectual property rights in the platform are owned by or licensed to Tangible Spin LLP. Nothing in these terms transfers ownership of the platform to you.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform during your subscription for your internal travel business purposes.
Travel data, including uploaded uploaded photos, trip notes, trip details, and related documents, remains yours or your licensors’ property. You grant us only the limited rights needed to host, copy, transmit, secure, back up, and otherwise process that data to provide the services, as described in the DPA.
Automation, AI, and assisted outputs
The platform may include, or later include, automation, OCR, AI-assisted summaries, recommendations, or similar generated outputs. Those outputs are provided to support workflow efficiency and may require human review before use.
You remain responsible for itinerary decisions, estimates, traveler reviews, safety judgments, legal compliance, and communications with your own travelers and clients.
Confidentiality
Each party must keep the other party’s non-public confidential information confidential, except where disclosure is required by law or the information is already public, already known, or independently developed without breach.
Governing law and disputes
These terms are governed by the laws of India.
The parties will first attempt good-faith negotiations for 30 days before escalating a dispute.
If unresolved, disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India, except that either party may seek urgent injunctive or equitable relief where necessary to protect intellectual property or confidential information.
Changes to these terms
We may update these terms from time to time. We will give at least 14 days’ notice of material changes by email or on the platform. Continued use after the effective date of a revised version constitutes acceptance of the updated terms.
General
- These terms, together with the DPA, Privacy Policy, Cookie Policy, and related legal pages, form the core public agreement for the platform.
- If any provision is found invalid or unenforceable, the remaining provisions continue in effect.
- Failure to enforce a provision is not a waiver of that right.
- You may not assign these terms without our prior written consent. We may assign them in connection with a merger, acquisition, or asset sale.
- Force majeure applies where delays or failures are caused by events beyond reasonable control.
- The parties are independent contractors and these terms do not create a partnership, agency, or employment relationship.
